Note: These are preliminary terms for beta testing purposes. Formal attorney-reviewed terms will be published prior to public launch. By using Chrysalis during beta, you agree to these terms.

Acceptance of Terms

By accessing or using Chrysalis Clinical Intelligence ("Chrysalis," "the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users including licensed healthcare providers, administrators, and staff.

Description of Service

Chrysalis is a clinical documentation assistance tool that uses artificial intelligence to generate structured clinical notes from visit transcripts. Chrysalis is not a medical device, does not provide medical advice, and does not diagnose or treat patients. All AI-generated content is for documentation assistance only.

Eligibility

Chrysalis is intended for use by licensed healthcare providers and their authorized staff. By using the Service, you represent that you are a licensed healthcare provider or are authorized to use the Service on behalf of one. You must be at least 18 years of age.

Provider Responsibility

Critical: You are solely responsible for all clinical decisions, documentation, and patient care. AI-generated notes must be reviewed, edited, and attested by a licensed provider before inclusion in any medical record or use in billing. Chrysalis does not guarantee the accuracy, completeness, or clinical appropriateness of generated content.

The licensed provider using Chrysalis bears full legal and professional responsibility for all documentation generated through the Service. Chrysalis shall not be liable for any clinical outcomes, billing disputes, malpractice claims, or regulatory actions arising from use of AI-generated content.

HIPAA Compliance

You are responsible for ensuring your use of Chrysalis complies with the Health Insurance Portability and Accountability Act (HIPAA) and applicable state privacy laws. A Business Associate Agreement (BAA) is required before entering Protected Health Information (PHI) into the Service. BAAs are available for Practice and Enterprise subscribers. Contact us to request a BAA.

Do not enter PHI into Chrysalis without a signed BAA in place.

Billing Intelligence Disclaimer

CPT code suggestions, ICD-10 code suggestions, reimbursement estimates, and denial risk flags provided by Chrysalis are for reference only. They do not constitute coding or billing advice. Final billing codes must be reviewed and submitted by a qualified medical coder or licensed provider. Estimated reimbursement amounts may not reflect actual payer rates or contract terms.

Acceptable Use

You agree not to use Chrysalis to: generate fraudulent medical documentation; submit false claims to government healthcare programs; circumvent any applicable law or regulation; attempt to reverse engineer or extract the underlying AI models; or share your account credentials with unauthorized users.

Intellectual Property

Chrysalis and its underlying technology, design, and software are the intellectual property of Chrysalis Clinical Intelligence. You retain ownership of clinical documentation generated through your use of the Service. We claim no ownership over your patient data or generated notes.

Subscription and Payment

Free trial users receive access to generate up to 5 clinical notes at no charge. Paid subscriptions are billed monthly. You may cancel at any time. Refunds are not provided for partial billing periods. Pricing is subject to change with 30 days notice.

Limitation of Liability

To the maximum extent permitted by law, Chrysalis Clinical Intelligence shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to clinical errors, billing denials, data loss, or regulatory actions. Our total liability shall not exceed the amount you paid for the Service in the three months preceding the claim.

Termination

We reserve the right to suspend or terminate your account for violation of these terms, non-payment, or any activity that poses legal or compliance risk. You may terminate your account at any time by contacting us. Upon termination, your data will be retained for 30 days and then deleted.

Governing Law

These terms are governed by the laws of the United States and the state in which Chrysalis Clinical Intelligence is incorporated. Disputes shall be resolved through binding arbitration except where prohibited by law.

Changes to Terms

We may update these terms at any time. We will notify you by email and post the updated terms on this page. Continued use of Chrysalis after changes constitutes acceptance.
